The Board of Trustees of a medical aid are elected by the membership to oversee and direct the governance and management of the Scheme. The Trustees are nominated and elected by the members in a process that is defined by both the rules of the Scheme as well as the Medical Schemes Act.
The Board of Trustees is comprised of elected and appointed Trustees. The Scheme rules determine that Trustees must retire after three years in office but may be re-elected for a second subsequent period of three years. After a second term of three years the Trustee must absent themselves from the Scheme for a period of one year before they can be deemed to be eligible again.
The trustee nomination and the election process will be conducted by an independent electoral body as prescribed by the Medical Schemes Act. Ezelle Venter from Astute Advice corporate governance and compliance consultants will be managing the process as pertaining to the nomination and election of trustees.
The trustee election will take place on the same day as the Annual General Meeting to be held on the 25th of June 2016. The nomination forms and criteria will be distributed by the Independent Electoral Body in following correspondence.
We kindly request that you familiarise yourself with the rules of the Scheme regarding the nomination and voting for Trustees. The rules are available on our website.
The Scheme has requested the Council for Medical Schemes to grant exemption from Rule 30.2. The Rule stipulates that the Independent Electoral Body must inform members 3 months prior to the term of office of a Trustee ends and at the same time call for nominations. The Scheme rules were updated to be more in line with the model rules as published by the Council for Medical Schemes and this caused a delay in the communication to members regarding the trustee election.
The Selfmed Board of Trustees and the Management Team encourage members to actively participate in this important process and look forward to interacting with you at the 2016 Selfmed Annual General Meeting and Board of Trustee election.
